“Build” is a structured partnership program with three separate pathways to enable firms to compete or transition. Build to Remain Independent helps firms align their leadership and develop an independence plan. Build to Merge Upward/Sell is for firms that realize independence is not an option but need to prepare for conversations. Build to Identify Suitors enables firms who are ready to start transition conversations immediately.

Path 1

Build to Remain Independent

Competition. M&A activity continues to increase, making it challenging for firms to compete against larger groups with deeper resources. Identifying leadership alignment gaps and developing a formal independence plan is the core goal of this path.

Succession. Testing your existing succession plan is one of the first steps in this process. We have a defined process to stress test your plan and illuminate any misalignment among the professionals inside the plan, should any exist.

Blueprint. We know the key metrics which drive profitability and culture. Evaluating your current core metric performance and setting achievable improvement benchmarks are a focal point of generating your independence plan we construct with you.

Path 2

Build to Merge Upward / Sell

Options. For firms who realize this is already their right path, we walk you through all available options on the market. Then, we set realistic expectations on the structure and deal components might look like for each transaction option.

Timeline. Establishing your transaction timeline is key. Some ownership groups will have an expedited timeline based on age; others might have a longer horizon. Understanding what your unique situation is, we build a go to market plan based on your factors.

Execution. After we have a clear understanding of your preferred transaction type and financial & operations strengths, our team will begin conversations with potential merger partners. We guide you through each step of the process to an executed letter of intent.

Path 3

Build to Identify Suitors

Preferences. A walk through the current market options and differences between potential deal structures. We identify and understand the key deal points which are important to your leadership team to determine the approach when speaking with suitors.

Expectations. We review your financials, client mix, staffing, and compensation through the lens of a perspective acquirer. This allows us to clearly explain the opportunity and upside you present to a potential buyer or merger partner and maximize value.

Implementation. Based on our planning sessions, our team will contact and facilitate meetings with potential suitors who fit your desired transaction parameters. We sit on all the meetings with you and review letters of intent when you get to that stage.
